Terms of Service
This agreement (“Agreement”) is entered into between Impact IQ Marketing, Inc. and (“Client”) for the
provision of various services as described herein.
- Services
1.1 Scope of Services: Service Provider agrees to provide various services, including but not limited to Local SEO, Website SEO, Social Media Management with Ads, etc.
1.2 Service Modifications: The scope of services may be modified based on mutual agreement between the parties. - Client Responsibilities
2.1 Access and Information: The Client agrees to provide necessary access to relevant platforms, websites, and information required for the provision of services.
2.2 Accuracy of Information: The Client is responsible for the accuracy and completeness of the information provided for service provision. - Fees and Payment
3.1 Fees: The Client agrees to pay the fees specified in the invoice provided by the Service Provider for the services rendered.
3.2 Payment Terms:
For month-to-month services, first payment is due upfront and monthly thereafter. - Duration of Services
4.1 Month-to-Month Option: For month-to-month services, this Agreement shall automatically renew on a monthly basis unless terminated by either party with 30 days written notice. - Termination
5.1 Month-to-Month Options: Either party may terminate this agreement according to the selection option at any time with 30 days notice. Upon termination, the client shall pay any outstanding fees for services provided up to the termination date. - Confidentiality
- Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of this Agreement.

- Ownership of Work
- The Service Provider acknowledges that all work performed under this Agreement is the property of the Client.

- Limitation of Liability
- The Service Provider’s liability for any claims arising out of this Agreement is limited to the total fees paid by the Client.

- Governing Law and Jurisdiction
- This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada. Any disputes arising out of this Agreement shall be resolved in the courts of the Province of Alberta.

- Amendments
- Any changes to this Agreement must be made in writing and signed by both parties.

- This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written, relating to the subject matter herein.
